1. Acceptance of Terms
These Terms & Conditions (the “Terms”) are an agreement between you and Chirag Parikh, an individual based in British Columbia, Canada, who operates XPadite (“XPadite”, “we”, “us” or “our”).
By creating an account, or by accessing or using the XPadite website at xpadite.com (the “Website”) or the XPadite application (the “App”, together with the Website the “Service”), you agree to these Terms. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal information and forms part of this agreement.
2. Description of XPadite
XPadite is a productivity platform. The features currently offered include:
- an Advanced Task Manager with subtasks and daily priorities;
- an Activity Manager with timers and time tracking;
- a Planner and Journal;
- a productivity calendar with streaks and analytics dashboards;
- a Mind Mapping Canvas; and
- other productivity tools described on the Website from time to time.
Some features and integrations are planned but not yet available, including AI-powered features (such as the AI Coach), the planned Premium plan, online checkout, and dedicated mobile apps. Descriptions of planned features are statements of intent, not promises that they will be released, or released by any date, and they are not included in any plan unless and until we say so.
3. Account Registration
To use the App you must create an account. You agree to:
- provide accurate and current information and keep it up to date;
- keep your login credentials confidential and not share your account;
- be responsible for activity that happens under your account; and
- tell us promptly if you suspect unauthorised use of your account.
You must be at least 18 years old to use the Service, and must have the legal capacity to enter into this agreement. If you use the Service on behalf of someone else, you confirm you are authorised to do so.
4. Five-Day Free Trial
New users receive a five-day free trial of the Service. A credit card is not required to start the trial, and the trial does not convert automatically into a paid subscription when it ends. To keep access to paid features after the trial, you must choose and purchase an eligible plan once online checkout is available.
We may decline or end a trial where we reasonably believe it is being abused, for example through repeated sign-ups.
5. Subscription Plans and Pricing
Paid access is offered as recurring subscriptions (Pro Monthly, Pro 6-Month and Pro Yearly) and as a one-time offer (Lifetime Pro, described below). The one-time 3-Year Pro offer is no longer sold to new customers; it is described below for customers who already purchased it. The current plans, what each includes, and their prices are shown on the Website pricing section and again, in full, at checkout before you pay. Prices are in Canadian dollars (CA$). The price you are shown at checkout is the price that applies to that purchase.
- Applicable sales taxes (such as GST/PST or other taxes) may be added and are shown at checkout where they apply.
- Each plan includes only the features described for it. For example, AI features are not included in any Pro plan.
- Early-adopter price guarantee. If you buy Pro Monthly or Pro Yearly, the rate you pay at checkout is guaranteed for at least one year from your first qualifying subscription purchase, even if our prices rise. It is a one-year guarantee, not a permanent price lock, and it does not apply to the one-time 3-Year Pro or Lifetime Pro purchases.
- We disclose all material payment terms — price, billing period, renewal terms and how to cancel — before you complete a purchase.
Payments are processed by Stripe. You can also start with the free trial, and you do not need to complete the trial before buying. Online checkout is not open yet; the terms in this section and sections 6 to 9 will apply when it is.
6. Automatic Renewals and Cancellation
Recurring subscriptions renew automatically at the end of each billing period (every month, every six months or every year) until cancelled, and you authorise us and our payment provider to charge the then-current price (or your guaranteed early-adopter price, where it applies) using your chosen payment method. The renewal terms are shown to you before purchase.
You can cancel at any time. Cancelling stops future renewals; you keep access through the period you have already paid for, and you will not be charged for the next period if you cancel before it begins. You can manage or cancel your subscription yourself through billing settings in the App, which opens Stripe’s customer portal, or by contacting support@xpadite.com.
Cancelling is not a refund. Cancelling a subscription ends future charges. It does not by itself entitle you to a refund of a payment already processed (see section 9).
Nothing in this section limits cancellation or renewal rights that the law gives you, including rights under British Columbia’s Business Practices and Consumer Protection Act or the consumer laws where you live.
7. Three-Year Pro Offer
The Three-Year Pro offer is no longer available to new customers. This section continues to apply to customers who purchased it while it was available, and their rights under it are not affected.
The Three-Year Pro offer is a one-time payment for three years of access to the eligible Pro plan features, starting on the date of purchase. It does not renew automatically unless you separately and expressly agree to a renewal. At the end of the three years, access under the offer ends unless you choose a plan to continue.
The Pro features included are those described for the Pro plan when you purchase. AI features and the planned Premium plan are not included unless the offer expressly says so. The offer is limited to the first 100 qualifying customers, counted separately from the Lifetime Pro offer, and availability is determined by our billing system at checkout. The early-adopter price guarantee in section 5 does not apply to this one-time purchase.
8. Lifetime Pro Offer
The Lifetime Pro offer is a one-time payment for access to the eligible XPadite Pro product or service for its lifetime. “Lifetime” means the lifetime of the XPadite Pro product or service as we offer it, and not your lifetime or a guarantee that the Service will operate forever. It is subject to these Terms, applicable law and the specific terms of the offer as advertised at purchase.
- It includes the Pro features and updates expressly advertised at the time of purchase, for as long as the Pro product or service is offered.
- It does not automatically include separately priced future standalone products, plans (such as Premium or AI features) or services, unless the offer expressly says so.
- If we ever discontinue the Pro product or service, we will give reasonable advance notice. Your statutory consumer rights are not affected.
- The offer is limited to the first 100 qualifying customers, counted separately from the Three-Year Pro offer, and availability is determined by our billing system at checkout.
- The early-adopter price guarantee in section 5 does not apply to this one-time purchase.
9. Refund Policy
Three-Year Pro and Lifetime Pro are one-time purchases and are non-refundable except where refunds are required by applicable law. We encourage you to use the 5-day free trial before you buy.
Recurring subscriptions (Pro Monthly, Pro 6-Month and Pro Yearly). You can cancel future renewals at any time (see section 6), and cancelling keeps your access through the period you have already paid for. Cancelling is separate from refunds: we do not promise automatic refunds or a fixed refund window for payments already processed, except where the law requires one. To ask about a payment, email support@xpadite.com with the email address on your account.
Nothing in these Terms limits any refund, cancellation or consumer right that the law gives you in British Columbia or where you live. Where a refund is due, it is returned to the original payment method and may take time to appear.
Payment disputes and chargebacks. If you dispute a payment with your bank or card issuer, the dispute is handled through the payment provider’s process. Opening a dispute does not by itself end your access. If a dispute is finally decided against us (lost), we may revoke the paid access that the disputed payment provided. If a dispute is decided in our favour (won), valid access continues. Please contact support@xpadite.com first if you have a billing concern; this section does not affect your legal rights.
10. User Content and Ownership
You keep ownership of the content you create or upload to the Service, such as your tasks, notes, journals, plans, mind maps and files (“Your Content”). We do not claim ownership of it.
You give us a limited, non-exclusive, worldwide licence to host, store, back up, synchronise, display and process Your Content only as needed to operate and support the Service for you (including sending it to our service providers for that purpose). If you choose to publish something publicly, such as a review, you also allow us to display it as part of the Website. These permissions end when you delete the content or your account, subject to the retention described in the Privacy Policy.
You are responsible for Your Content, for having the right to upload it, and for keeping your own copies of anything important. Please do not use XPadite as your only record of critical information.
11. Acceptable Use
You agree not to:
- use the Service for anything unlawful, or to store or share unlawful content;
- try to gain unauthorised access to the Service, other accounts, or our systems or data;
- probe, scan or test for vulnerabilities, or bypass security or access controls, without our written permission;
- infringe or violate the intellectual property, privacy or other rights of others;
- upload malware or content intended to disrupt or harm the Service or other users;
- interfere with or place an unreasonable load on the Service, or use automated means to access it except as we allow; or
- resell or provide the Service to others, or share an account, except as the Terms allow.
12. AI-Powered Features
AI-powered features, such as the planned AI Coach, are not currently available in the Pro plans and are planned for a future release. If and when they are offered, you should understand that:
- AI outputs can be inaccurate, incomplete or unsuitable, and are generated automatically;
- they are informational and supportive only and are not professional advice (including medical, legal, financial or mental-health advice);
- you are responsible for deciding whether and how to act on any suggestion; and
- we do not guarantee results, accuracy or any particular outcome from AI-generated recommendations.
How AI features handle your information will be described in our Privacy Policy before they launch.
13. Intellectual Property
The XPadite name, logo and branding, and the software, interface, design, text and other materials of the Service (excluding Your Content) belong to the operator or its licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose while these Terms apply. You may not copy, modify, reverse engineer, or create derivative works from the Service except as the law allows, or use our branding without written permission. Your Content remains yours, as described in section 10.
14. Service Availability and Updates
We aim to keep the Service reliable and available, but we do not promise it will be uninterrupted or error-free. There may be maintenance, updates, outages caused by us or our providers, or events outside our control. We may improve, change, add or remove features over time as the product evolves.
Any change will respect the benefits you have purchased and the protections the law gives you as a consumer. If we make a change that materially reduces what you have paid for, we will give you reasonable notice and a fair remedy.
15. Suspension and Termination
You may stop using the Service and delete your account at any time. We may suspend or end your access where we reasonably believe you have breached these Terms, created a security or legal risk, or abused the Service, or where required by law. Where practical and safe we will tell you why and give you a chance to fix the issue.
Deleting your account ends your access to the subscriptions and one-time licences (3-Year Pro or Lifetime Pro) associated with that account; they are not transferred to another account. Active recurring billing is cancelled as part of the deletion. If we cannot confirm that cancellation, we will not delete the account until it is resolved, so that no further charges are taken. Some payment, invoice, tax, accounting, fraud-prevention or dispute records may be kept where we are legally required or permitted to keep them (see the Privacy Policy).
If your account ends, your right to use the Service ends, and Your Content is handled as described in the Privacy Policy. Sections that by their nature should continue (such as ownership, limits on liability and governing law) will continue. This does not take away any rights the law gives you.
16. Warranties and Liability
The Service is provided on an “as is” and “as available” basis. To the extent the law allows, we do not make warranties other than those required by law, including that the Service will meet every need, be uninterrupted or error-free, or that data will never be lost or corrupted.
To the extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or for loss of profits, data or goodwill, arising from your use of the Service.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, or any statutory right you have as a consumer. Some places do not allow certain limits, so parts of this section may not apply to you.
17. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Subject to any mandatory rights below, the courts of British Columbia have jurisdiction over disputes, unless a different forum is required by law.
If you are a consumer living elsewhere, you keep the mandatory consumer protections of the place where you live, including any right to bring a claim in your local courts, and these Terms do not take those rights away.
18. Changes to Terms
We may update these Terms from time to time, for example to reflect new features, payment systems or legal requirements. The “Last Updated” date shows when they last changed. We will give reasonable advance notice of material changes (for example by email or an in-App notice), and by the time of any change that the law requires you to agree to, we will ask for your agreement. Continuing to use the Service after a change takes effect means you accept the updated Terms, and you may stop using the Service and close your account if you do not.
We will not use a change to the Terms to take away or reduce benefits you have already purchased, or any right the law gives you.
